NORTH AMERICAN GROUP TRAVEL ASSOCIATION WEBSITE TERMS OF USE

1. What these terms cover
1.1 These terms govern your use of nagta.org and every page, form, dashboard, and download on it (the "site"), operated by North American Group Travel Association ("NAGTA," "we," "us"), a District of Columbia nonprofit corporation with its principal office at 1235 Pennsylvania Ave SE, Suite 1340, Washington, DC 20003. By using the site you agree to them.
1.2 Membership in NAGTA is a separate agreement. The Membership Terms and Tier Schedule at nagta.org/terms govern every membership tier, its prices, benefits, obligations, the introductory period, the seal license, communications, and termination. If these terms and the Membership Terms conflict on a matter of membership, the Membership Terms govern.
1.3 Our privacy policy at nagta.org/privacy explains what information the site collects and how we use it, and forms part of these terms.
2. Using the site
2.1 You may use the site to learn about NAGTA, to join, to sign in to your member dashboard, and to download materials we make available to you. You agree not to: use the site for any unlawful purpose; scrape, harvest, or copy member information or directory records for marketing or for any list; attempt to access another member's dashboard or record; interfere with the site's operation or security; upload anything unlawful, infringing, or harmful; or misrepresent who you are or whom you represent.
2.2 The member dashboard is reached by a sign-in link sent to the email address on the membership record. There are no passwords. You are responsible for the security of that mailbox and for everything done from a session started with a link sent to it. Tell us at membership@nagta.org at once if that mailbox is compromised.
2.3 Anyone who joins on behalf of an organization represents that they are authorized to bind it (Membership Terms 1.2). Anyone who edits a member record through the dashboard represents that they are authorized by that member to do so.
3. Our content and marks
3.1 The site, its text, design, and code are NAGTA's or licensed to NAGTA. You may view and print pages for your own use and may quote short passages with attribution. You may not republish the site's content, reproduce the Membership Terms or standards as your own, or use the site's design.
3.2 "North American Group Travel Association," "NAGTA," the NAGTA wordmark, and the NAGTA member seals are NAGTA's marks. The seals may be displayed only by a member holding a tier that carries them, in the form NAGTA supplies, under the license in section 9 of the Membership Terms. No other use of NAGTA's name or marks is permitted without written permission. A seal states membership; it is not a certification or an endorsement, and no one may describe it as one.
3.3 Standards and templates published on the site are voluntary and informational. They are not legal advice and do not replace your own contracts or counsel.
4. Content you provide
You keep ownership of the profile content you publish through the dashboard (logo, photos, descriptions, and contacts). You grant NAGTA a non-exclusive, royalty-free license to display it in the directory, in the request-for-proposal channel, and in NAGTA's own materials that present the directory, for as long as it is on your record. You represent that you have the rights to publish it and that it is accurate. NAGTA may remove or correct content that violates these terms, the Membership Terms, or another person's rights, after notice as the Membership Terms provide, or immediately where the content is fraudulent or impersonates another business.
5. Groupbinder and the marketplaces
The site links to Groupbinder and to the marketplaces (Charter Bus Directory, Group Hotel Index, the attractions directory, and the request-for-proposal infrastructure). They are owned and operated by a separate company in which NAGTA's founder holds an interest. NAGTA holds no ownership in that company, takes no fee per request or per bid, and receives nothing for these links. Each of them has its own terms of use and privacy policy, which govern your account and everything you do there. NAGTA is not a party to any account, quote, bid, booking, or payment on them and is not responsible for their operation, content, or availability.
6. Payments
When online payment for a paid tier is available on the site, it is processed by Stripe under Stripe's terms. The amounts, the 12-month term from the date of payment, the non-refundable nature of dues, the renewal notices, and the absence of automatic renewal are as stated in sections 6 and 7 of the Membership Terms. Card details never reach NAGTA's systems.
7. Disclaimers
The site is provided as is. NAGTA works to keep it accurate and available but does not warrant that it will be error-free or uninterrupted, or that any listing, benchmark, report, template, or standard on it is accurate or fit for your purpose. NAGTA does not act as agent, guarantor, or insurer for any member and is not liable for any member's performance (Membership Terms 16.3).
8. Limitation of liability
To the fullest extent permitted by law, NAGTA and its directors, officers, member, and volunteers are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the site, and NAGTA's total liability to you for any claim arising from the site is limited to the dues you paid NAGTA for the membership year in which the claim arose, or $100 if you paid none.
9. Changes
We may change the site and these terms. A material change is posted at nagta.org/terms-of-use with its effective date, and where it concerns members we give the notice the Membership Terms require. Continued use of the site after the effective date is acceptance of the change.
10. Governing law
These terms are governed by the laws of the District of Columbia. Any dispute concerning the site is brought in the courts of the District of Columbia. If a provision is held invalid, the remainder continues in effect. Our failure to enforce a provision is not a waiver.
